Givli Affiliate Program Terms

1. Overview

These Affiliate Program Terms (the "Affiliate Terms") govern your participation in the Givli affiliate program (the "Program"). They are an addendum to, and form part of, Givli's main Terms of Service. In the event of a conflict between these Affiliate Terms and the Terms of Service, these Affiliate Terms will govern your participation in the Program.

2. Eligibility & Registration

• You must submit a complete and accurate application via the Givli affiliate registration form and receive approval before promoting Givli as an affiliate.
• We may approve or reject any application at our sole discretion, and we may revoke approval at any time if we determine that your participation may harm Givli, our customers, or our reputation.
• You are responsible for ensuring that your contact details, payout information, and tax information are accurate and kept up to date.

3. Affiliate Obligations

• You will only promote Givli in a truthful, accurate, and non‑misleading manner. You will not make any claims about features, pricing, or results that are not supported by Givli's official materials.
• You agree to comply with all applicable laws and regulations, including but not limited to advertising standards, anti‑spam rules, and disclosure requirements. Where required, you will clearly disclose that you may receive compensation for referrals to Givli.
• You will not engage in any of the following:
  • Using Givli trademarks in domain names or social handles without permission.
  • Running paid search ads that bid on "Givli" or confusingly similar brand terms.
  • Misrepresenting yourself as being employed by, or officially speaking on behalf of, Givli.
  • Any deceptive, fraudulent, or abusive practices, including cookie stuffing or forced clicks.

4. Commissions & Payouts

• Commission structure, eligible products, and payout schedule will be described in your affiliate dashboard or onboarding documentation and may be updated from time to time. Any changes will apply to referrals made after the effective date of the change.
• Commissions are only payable on valid, tracked referrals that result in eligible purchases or subscriptions, as determined by Givli using its internal tracking systems.
• We may withhold or reverse commissions if we, in our reasonable opinion, believe that the underlying transactions:
  • Were fraudulent or made primarily for the purpose of generating commission.
  • Were refunded, charged back, or canceled.
  • Violate these Affiliate Terms or Givli's Terms of Service.
• You are solely responsible for any taxes, fees, or other charges that may apply to commissions paid to you under this Program.

5. Relationship of Parties

You are an independent contractor and not an employee, agent, partner, or joint venture of Givli. You have no authority to make or accept any offers or representations on our behalf. Nothing in these Affiliate Terms creates any employment, agency, or exclusive relationship between you and Givli.

6. Term, Suspension & Termination

• These Affiliate Terms will remain in effect while you are enrolled in the Program, unless terminated by either party.
• Givli may suspend or terminate your participation in the Program at any time, with or without cause, by providing notice to you or by disabling your affiliate account.
• Upon termination, you must immediately stop using affiliate links, promotional materials, and any other references to Givli in connection with the Program. Any outstanding eligible commissions will be paid in accordance with our then‑current payout policies.

7. Limitation of Liability & Disclaimer

To the maximum extent permitted by law, Givli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Program, even if we have been advised of the possibility of such damages. Our total aggregate liability to you in connection with the Program will not exceed the total commissions paid or payable to you in the six (6) months preceding the event giving rise to the claim.

The Program is provided on an "as is" and "as available" basis. Givli makes no warranties or representations, express or implied, regarding the Program, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non‑infringement.

8. Changes to These Affiliate Terms

We may update these Affiliate Terms from time to time. When we make material changes, we will update the "Last updated" date above and may provide additional notice where appropriate. Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the updated Affiliate Terms.
